1. Agreement and eligibility
These Terms form an agreement between you and LotBridge LLC (“LotBridge,” “we,” “us,” or “our”). By creating an account, accepting these Terms at checkout, or using the service, you agree to these Terms and our Privacy Policy. If you use LotBridge for a dealership or other organization, you confirm that you are authorized to accept these Terms for that organization.
You must be at least 18 years old and legally able to enter into a binding agreement. LotBridge is intended for authorized automotive dealership personnel and other approved business users, not for personal consumer listings.
2. The LotBridge service
LotBridge helps authorized dealership personnel prepare vehicle information and selected dealership-hosted photos for review in a Facebook Marketplace vehicle-listing workflow. LotBridge may also provide posting queues, price-change alerts, renewal tracking, sold-vehicle status, dealership assignments, administrative tools, and related support.
LotBridge prepares a draft and assists with supported form fields. The user remains responsible for reviewing every detail, selecting the photos, and completing Facebook's final publishing action. LotBridge does not promise that every dealership website or third-party platform will remain compatible, and an adapter may require configuration or updates when another website changes.
3. Accounts, dealership access, and credential sharing
Accounts are issued to named users and may be used only for dealerships and website domains approved by LotBridge. The Individual plan includes one named user at one dealership; the Team plan includes up to five named users at one dealership; and the Sales Floor plan includes up to ten named users at one dealership. A written order or approved account configuration may authorize additional users or rooftops.
You must provide accurate account information, keep credentials confidential, and promptly report suspected unauthorized access. Accounts may not be shared, resold, transferred, or used to avoid user or dealership limits. LotBridge may restrict access to unassigned dealership domains and may suspend accounts when it reasonably believes credentials are being shared or the service is being misused.
4. Setup, subscriptions, and billing
LotBridge reviews the dealership website and confirms compatibility before sending the applicable checkout link. Paid access begins after checkout and account activation. The checkout page, order, or written offer states the applicable plan, price, and billing start date.
Paid plans are billed monthly in U.S. dollars and renew automatically until canceled. Applicable taxes are added when required. By providing a payment method, you authorize LotBridge and its payment processor to charge the recurring subscription amount and applicable taxes on each renewal date.
You may cancel through the LotBridge billing portal or by contacting billing@lotbridge.app. Cancellation takes effect at the end of the current paid billing period, and access continues through that date. Except where required by law or expressly stated in writing, charges already paid are nonrefundable and partial months are not prorated. Contact us promptly about a suspected billing error.
We may change prices or plan features prospectively. We will provide advance notice before a change applies to a renewing paid subscription. Continued use after the effective date of a notified change constitutes acceptance of the updated subscription terms.
5. Customer responsibilities and acceptable use
You are responsible for the accuracy, legality, and completeness of every listing and for complying with dealership policies, advertising requirements, applicable law, and third-party platform rules. You confirm that you and your dealership have the right to access and reuse the inventory data, descriptions, and photos submitted through LotBridge.
You may not use LotBridge to:
- access or reuse inventory that you are not authorized to represent;
- publish false, misleading, discriminatory, infringing, or unlawful content;
- circumvent dealership assignments, account limits, security controls, or third-party platform restrictions;
- copy, reverse engineer, resell, sublicense, or commercially exploit LotBridge except as permitted by law or written authorization; or
- interfere with the service, introduce malicious code, or use automated methods that create unreasonable load or violate another service's rules.
6. AI-assisted descriptions
LotBridge may offer AI-assisted description drafting. AI output can be incomplete or inaccurate and is not a substitute for human review. You must verify all facts, pricing, equipment, warranties, incentives, and disclosures before publishing. You remain responsible for the final listing and how generated text is used.
7. Facebook, dealership websites, and other third parties
LotBridge is an independent service and is not affiliated with, sponsored by, or endorsed by Meta Platforms, Inc., Facebook, any vehicle manufacturer, or any dealership unless expressly stated. Facebook, dealership websites, browsers, authentication providers, AI providers, and payment processors are third-party services governed by their own terms and policies.
LotBridge does not control third-party availability, account restrictions, content decisions, or platform changes. We are not responsible for a third party suspending an account, rejecting or removing a listing, changing its interface, or discontinuing a feature.
8. Ownership and feedback
LotBridge and its licensors retain all rights in the service, software, design, branding, documentation, and improvements. These Terms grant you a limited, nonexclusive, nontransferable, revocable right to use the service during an active paid subscription or written beta authorization for your approved business purposes. You retain rights in content you lawfully provide and grant LotBridge the limited permission necessary to process that content and operate the service.
If you provide suggestions or feedback, you permit LotBridge to use them without restriction or compensation, provided we do not identify you publicly without permission.
9. Availability, changes, suspension, and termination
We may maintain, update, replace, or discontinue features as the service evolves. We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. We may suspend or terminate access for nonpayment, security risk, violation of these Terms, unlawful activity, or conduct that threatens LotBridge, its customers, or third parties.
You may stop using LotBridge at any time. Sections that by their nature should survive termination—including payment obligations, ownership, disclaimers, limitations of liability, indemnification, and governing law—will survive.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, LotBridge is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not guarantee leads, engagement, sales, listing approval, platform availability, or uninterrupted compatibility with any dealership or third-party website.
To the maximum extent permitted by law, LotBridge LLC and its members, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or third-party account access. Our total liability arising from the service will not exceed the amount you paid to LotBridge during the three months immediately before the event giving rise to the claim. Nothing in these Terms limits liability that cannot legally be limited.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless LotBridge LLC and its members, employees, contractors, and suppliers from claims, losses, liabilities, and reasonable expenses arising from your listings or content, your violation of these Terms or applicable law, your lack of authority to use dealership content, or your misuse of the service.
12. Governing law and general terms
These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law principles. The state and federal courts located in Mississippi will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to those courts' jurisdiction and venue.
These Terms, the Privacy Policy, and any written order or plan terms form the entire agreement concerning the service. If a written order conflicts with these Terms, the written order controls for that conflict. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; LotBridge may assign them in connection with a merger, financing, reorganization, or sale of the business or relevant assets.
13. Changes and contact
We may update these Terms as LotBridge changes. Material updates will be posted with a revised effective date and, when appropriate, communicated to active customers. Your continued use after an update becomes effective means you accept the revised Terms.
